1. Definitions
Company – Locktite NZ Limited, registred in New Zeland, NZBN 9429050829170
Website – www.vtiteshutters.co.nz and includes any derivative of this website
Shworoom – Unit 2, 16 Ashley Place, Papamoa Beach, Tauranga
Order – The meaning set out in clause 3.1.
Products – All goods offered for sale on this Website, including MDO Products.
MDO Products – all Products that are made to order as per your specific order.
2. General
2.1 Ownership: The Website is owned and operated by Company.
2.2 Use of this webite: By accessing or using this Website you confirm that you have read, understood and agreed to be bound by these terms. Your use of this Website is subject to the following conditions and all applicable laws. If you do not agree with these terms then you are not permitted to use or browse this Website.
2.3 Modification to Terms: Company may modify, alter or otherwise update the terms applicable to this Website without notice. If you have registered with the Company we will send an email message to the last email address you provided to advise you when the terms have changed. You agree to check these terms and conditions and to be bound by such terms as are in effect at the time at which you access this Website.
2.4 Agreement: These Terms constitute the entire agreement concerning the supply of Products. No representation, warranty, term or condition shall be binding on us unless it is included in the Terms.
2.5 Governing Law: These Terms will be construed and take effect as a contract made in New Zealand and will be governed by the New Zealand law, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts
3. Orders
3.1 Order: An order may be placed with the Company by using our Website, by email or in person.
Website ordering process consits of the following steps:
- using “Add to Cart” button on the Website;
- selecting the product and its quantities;
- specifying technical details for Product or MDO Product as per forms on this Website;
- entering delivery address and selecting shipping option;
- selecting payment method;
- submitting the order by using the “Place Order” button on the Website;
- making a payment.
Email and in person ordering system works as follows:
- sending enquiry to our email: sales@vtite.co.nz , booking a free consultation or visiting our Showroom;
- quotation and Product specification supplied by the Company;
- acceptance of our quotation;
- making payment for the required deposit.
3.2 Orders for MDO Products: All MDO Products are manufactured to your order as per specification supplied by you. We have created ordering forms to guide you with the ordering process, however we may ask you for more details, clarification or acceptance of additional drawings before we send your order into production.
3.3 Responsibility: MDO Products are made according to the specifications provided in your order and you are responsible for all details, inlcuding any measurements, configurations, trechnical details and colour decisions.
3.4 Irrevocability: Orders are irrevocable and represent an offer by you to purchase the Products at the price and other terms displayed on the Website.
3.5 Order acceptance/rejection: To accept your order we require a payment of 50% for the price of the Products. Additionally, we may need your written acceptance for any complementary Product information. Once we have your payment and all the Product details received we will send you an email with your order confirmation. We may reject your order only if we haven’t received your payment or we don’t have enough information to manufacture your Products correctly.
3.6 Order status: Once your payment is received and all Product details are confirmed we will send you an email with your order confirmation. After your order is manufactured and ready for delivery or collection you will receive an email notification of changing status of your order.
3.7 Payments: At the time your Order is placed we require 50% payment of the price for the Products. Balance for the price of the Products is required prior delivery, shipping or collection.
3.8 Cancellation: Even though we may have accepted your Order, we may cancel your Order due to any other reason which is beyond our reasonable control including, without being limited to, industrial action, where the Products cannot be manufactured because of shortage of materials, where the Products have been destroyed or damaged before delivery to you and significant shipping delays or failures by suppliers to manufacture the Products to our required standards.
3.9 Consequences of cancellation: If we cancel your Order we will immediately refund the amount paid to our account. We shall not be liable to you or any other person for any loss or damages suffered by you due to a failure by us to perform our obligations.
3.10 Lead time: Approximate lead time for delivery of our Products is 8-12 weeks from the day when your order has been accepeted, however sometimes shipping times are beyond our control and cannot be guaranteed.
4. Prices
4.1 Currency: All prices are in New Zealand Dollar and include GST (goods and services tax).
4.2 Subject to change: Prices are subject to change without notice.
5. Delivery
5.1 Delivery fee: We will specify the delivery fee at the point you place your Order.
5.2 Transit damage: Despite our Products being well packed and checked, transit damage may oocur. We strongly recommend to inspect all Products immediately after delivery. If transit damage is not reported within 7 days of receiving your Products, we will assume that your goods were delivered in the expected condition.
5.3 Ownership: If we deliver the Products to you, ownership of the Products shall pass to you at the time of delivery. If you opt to collect the Products from our Showroom, ownership of the Products passes to you at the time you collect the Products.
5.4 Risk: All risk in respect of the Products shall pass to you:
- at the time we first attempt to deliver the Products to you; or
- if you opt to collect the Products from our Showroom, at the time you collected the Products.
5.5 Exclusion of liability: We shall have no liability to you for any losses arising by reason of delay in delivery, whatever the cause of the delay.
6. Warranty
6.1 Warranty perriod: The warranty applies to all our Products, for shutters it covers structural paint, manufacturing defects and shipping damage. The warranty periods are as listed below:
- 2 years for Timber Shutters;
- 3 years for PVC Shutters;
- 5 years for Aluminium Shutters;
- 2 years for all other Products.
6.2 Exclusions: Our warranty does not cover the following:
- Sligth colour variations;
- Opening and closing adjustments that may be caused by gravitational forces, eg. panels needing a slight lift or push when closing;
- Any mechanical damages that hasn’t been identified as shipping defects.
6.3 Claims: The warranty claims are under the following procedure:
- notify us in writting on what fault or defect has occured to your Product as soon as it’s discovered;
- send us evidence of the fault or defect;
- return Products on request (in some situations returning your Products may be at your own expense);
6.4 Benefits: Subject to any legal rights you have that cannot be limited under the Consumer Guarantees Act, our liability shall be limited at our sole option to:
- replacing or repairing any defective Products; or
- supplying equivalent Products; or
- paying the cost of replacement Products; or
- paying for the repair of the Products.
6.5 Legal Acts: Fair Trading Act 1986 and the Consumer Guarantees Act 1993 apply to all Orders.
7. Privacy Policy
7.1 General: We are commited to ensure the privacy of your personal information. When you provide us with personal information the terms of this privacy policy will apply to that information. The Office of the Privacy Commissioner (www.privacy.org.nz) provides further details of the Privacy Act and how it protects personal information in New Zealand.
7.2 Collected information: The Company collects, stores and uses personal information about you which you have provided to us in any form or via the Website. We collect personally identifiable information, such as your e-mail address, name, home or work address or telephone number. Any personal information you provide will be held in accordance with the requirements set out in the Privacy Act 1993 and this clause 12.
7.3 Use of your personal information: We may use your personal information:
- for the purposes you provided it to us;
- if you have provided us with an email address, to send you email messages to market or promote goods and services provided by us;
- to operate the Company website and deliver the products and services you have requested;
- to inform you of other products or services available from us and its affiliates. We may also contact you via surveys to conduct research about your opinion of current services or of potential new services that may be offered.
7.4 Sharing information: The Company does not sell, rent or lease its customer lists to third parties, we will not release your personal information to any third party except where required to, permitted to by law, where you have authorised us to do so or where disclosure is connected to the purpose for which the information was collected.
7.5 Electronic messages: If you enter your email address into the Website then you have agreed to the Company providing you with unsolicited information about its products and services in electronic form to that email address. You may request that we delete your email address at any time by either contacting us in writing, email or using the functional unsubscribe feature on an email you may have received from us.
7.6 Phone messages: If you enter your phone number during checkout, you agree to receive transactional messages about payments and order statuses, facilitating effective transaction and order processing communication. You may request that we delete your phone number at any time by contacting us in writing, email or using the functionality on “Contact“ page.
